Conditions Générales d'Utilisation et de Vente (CGU)

1. Introduction

Ces Conditions Générales d'Utilisation et de Vente (« CGU ») régissent l'accès et l'utilisation du site web, de la plateforme et des services associés de Piece Mode (collectivement, les « Services ») exploités par Maille SAS, une société enregistrée en France (« Maille », « nous », « notre »).

En accédant, naviguant, connectant un portefeuille ou utilisant autrement les Services, vous (« vous », « Utilisateur ») acceptez d'être lié par ces CGU. Si vous n'acceptez pas, vous ne devez pas utiliser les Services.

2. Définitions

Aux fins de ces CGU :

  • • « Plateforme » désigne le site web Piece Mode et toutes les interfaces, API et outils associés exploités par Maille.

  • • « NFT » désigne un jeton non fongible, généralement conforme aux normes ERC‑721 ou similaires, émis ou échangé via la Plateforme.

  • • « Créateur » désigne tout Utilisateur qui télécharge, soumet ou rend autrement du contenu disponible via la Plateforme pour le minting ou la vente en tant que NFT.

  • • « Contenu » désigne tout matériel (y compris images, vidéos, audio, texte, métadonnées et autres œuvres) téléchargé, soumis ou affiché sur ou via la Plateforme.

  • • « Portefeuille » désigne un portefeuille numérique compatible (par exemple MetaMask ou autres portefeuilles compatibles EVM) que vous connectez à la Plateforme pour interagir avec les NFT ou effectuer des paiements.

  • • « Blockchain » désigne le ou les réseaux blockchain publics sur lesquels les NFT pris en charge par la Plateforme sont émis et échangés.

3. Éligibilité

3.1 Âge

Vous devez avoir au moins 18 ans pour utiliser les Services. En utilisant les Services, vous déclarez et garantissez que vous remplissez cette condition d'âge.

3.2 Juridiction et légalité

Vous ne pouvez utiliser les Services que si vous résidez dans une juridiction où l'achat, la vente et la possession de NFT et d'actifs numériques associés sont légaux. En utilisant les Services, vous déclarez et garantissez que votre utilisation est conforme à toutes les lois et réglementations applicables dans votre juridiction.

3.3 Capacité juridique

En utilisant les Services, vous déclarez et garantissez que vous avez la capacité juridique et l'autorité pour conclure un contrat contraignant avec Maille et pour utiliser les Services conformément à ces CGU.

4. Portée des Services

4.1 Fonctionnalité de la Plateforme

Piece Mode fournit une plateforme numérique permettant aux Utilisateurs de :

  • • Découvrir, visualiser et interagir avec des NFT et le Contenu associé.

  • • Connecter des Portefeuilles pris en charge pour réclamer, acheter ou transférer des NFT.

  • • Pour les Créateurs, télécharger ou soumettre du Contenu à associer à des NFT (y compris des pièces uniques ou limitées) et proposé aux fans ou collectionneurs.

4.2 Pas de garde, pas de courtage

Maille ne prend pas en charge vos NFT ou les fonds détenus dans votre Portefeuille, n'agit pas en tant que courtier, conseiller ou agent, et ne garantit pas l'exécution de toute transaction au-delà du fonctionnement technique de la Plateforme.

4.3 Pas de conseils financiers, d'investissement ou juridiques

Les informations sur la Plateforme sont fournies à des fins d'information et de divertissement uniquement. Elles ne constituent pas des conseils en investissement, financiers, fiscaux ou juridiques. Vous êtes seul responsable de vos décisions.

5. Enregistrement de compte et connexion de Portefeuille

5.1 Accès basé sur un compte ou un portefeuille

Certaines fonctionnalités peuvent nécessiter la création d'un compte ou la connexion d'un Portefeuille compatible. Vous acceptez de fournir des informations exactes, complètes et à jour et de maintenir ces informations à jour.

5.2 Sécurité des identifiants

Vous êtes responsable de la confidentialité de vos identifiants de connexion et de la sécurisation de votre Portefeuille et de vos clés privées. Toute activité effectuée sous votre compte ou votre connexion de Portefeuille est considérée comme étant effectuée par vous.

5.3 Notification d'utilisation non autorisée

Si vous soupçonnez un accès ou une utilisation non autorisée de votre compte ou de votre Portefeuille en lien avec la Plateforme, vous devez nous en informer rapidement en utilisant les coordonnées fournies sur le site web.

6. Blockchain, Portefeuilles et Risques Techniques

6.1 Réseaux blockchain indépendants

Les NFT échangés via la Plateforme existent sur des réseaux blockchain publics qui ne sont pas sous le contrôle de Maille. Les opérations blockchain sont sujettes à la congestion du réseau, aux pannes, aux forks et à d'autres événements techniques.

6.2 Responsabilité du Portefeuille

Vous êtes seul responsable de:

  • • Choisir et maintenir un Portefeuille compatible;

  • • Protéger les clés privées, les phrases de récupération et toutes les mesures de sécurité associées à votre Portefeuille;

  • • S'assurer de l'exactitude des détails des transactions (adresse du destinataire, montants, paramètres de gas).

6.3 Irréversibilité des transactions

Les transactions exécutées sur la blockchain sont généralement irréversibles. Maille ne peut pas modifier, annuler ou rembourser les transactions on-chain une fois qu'elles ont été diffusées ou confirmées.

7. NFTs: Minting, Claiming, Reveal, and Metadata

7.1 Minting and claiming

La Plateforme peut permettre aux Utilisateurs de créer, réclamer ou acheter des NFTs, y compris via des mécanismes de "drop" ou de "claim" et des structures de révélation délibérée. En participant, vous reconnaissez que :

  • • NFT allocation (including token IDs) may be sequential or random depending on contract design.

  • • You may not be able to choose a specific token ID or individual NFT at the time of mint or claim.

7.2 Delayed reveal and surprise mechanics

Some NFTs may use a delayed reveal or placeholder metadata model. In such cases:

  • • Visual media, name, attributes, and other metadata may be hidden or presented as generic placeholders until a reveal event is triggered by authorized parties.

  • • You acknowledge that you are purchasing or claiming NFTs without full ex ante knowledge of specific visual appearance or rarity.

7.3 Metadata changes and updates

Within limits allowed by the underlying smart contracts, Creators or Maille may update or correct metadata (including descriptive text, images, or traits) for technical, artistic, or compliance reasons. We will use reasonable efforts to preserve the integrity of the project concept, but do not guarantee that metadata will never change.

7.4 No guarantee of value or rarity

Maille does not guarantee:

  • • Any specific rarity distribution or future market value of NFTs.

  • • Liquidity, resale opportunities, or listing on any marketplace. NFTs are inherently speculative digital assets, and your purchase or claim is at your own risk.

8. Payments, Fees, and Taxes

8.1 Pricing and currency

NFTs and services may be priced in cryptocurrency or, where applicable, in fiat currency. Prices, accepted currencies, and applicable fees will be disclosed in the interface at the time of transaction.

8.2 Gas fees and transaction costs

You are responsible for paying any gas fees or network transaction fees required by the blockchain for minting, claiming, or transferring NFTs.

8.3 Platform and creator fees

Maille may charge platform fees or commissions on NFT sales or claims. Creators may set their own prices and royalties. All such fees will be disclosed as part of the transaction flow where reasonably possible.

8.4 Taxes

You are solely responsible for determining, reporting, and paying any taxes arising from your use of the Services, including NFT purchases, sales, or income from Creator activity, in accordance with your local laws.

8.5 Refunds

Unless explicitly stated otherwise in a specific offer, all NFT sales and claims are final and non-refundable, subject only to mandatory consumer protection laws that may apply.

9. Creator Content and Licensing

9.1 Ownership of Creator Content

Creators retain ownership of the underlying intellectual property in their Content, subject to any separate agreements they may enter into with Maille or third parties.

9.2 License granted to Maille

By uploading or submitting Content to the Platform, you grant Maille a worldwide, non-exclusive, royalty-free license to:

  • • Host, store, reproduce, display, and distribute the Content in connection with the Services;

  • • Use and adapt the Content for purposes of minting, promoting, and operating NFT drops and related features.

9.3 License granted to Buyers

The purchase or claim of an NFT generally conveys:

  • • Ownership of the token itself and the right to display the associated Content for personal use, social media, and in connection with resale;

  • • Unless otherwise specified, it does not convey ownership of underlying copyrights or trademarks. Any additional commercial license or rights must be expressly stated in the NFT’s project description or a separate written agreement.

9.4 Creator representations and warranties

Creators represent and warrant that:

  • • They have all necessary rights and permissions to upload and tokenize the Content.

  • • The Content does not infringe any third-party intellectual property rights.

  • • The Content is not unlawful, defamatory, hateful, or otherwise in violation of these Terms or applicable law.

10. User Conduct and Prohibited Activities

10.1 General obligations

You agree to use the Services solely for lawful purposes and in accordance with these Terms.

10.2 Prohibited activities

You must not, directly or indirectly:

  • • Engage in fraudulent, deceptive, or manipulative practices (including wash trading or market manipulation).

  • • Violate any applicable law, regulation, or third-party rights.

  • • Upload or distribute unlawful, offensive, or harmful Content.

  • • Interfere with the security, integrity, or performance of the Platform or underlying smart contracts.

  • • Attempt to gain unauthorized access to any systems or data.

  • • Use automated tools or bots in a manner that disrupts or abuses the Services.

11. Suspension and Termination

11.1 Our rights

We may, at our sole discretion and without prior notice:

  • • Suspend or terminate your access to the Services;

  • • Block or restrict certain actions (e.g. minting, claiming, or uploading);

  • • Remove or disable access to Content;

if we believe that you have violated these Terms, applicable law, or harmed the integrity of the Platform or other Users.

11.2 Effect of termination

Upon termination of your access:

  • • Your right to use the Services ceases;

  • • On-chain NFTs already minted remain under your control via your Wallet, subject to blockchain rules;

  • • These Terms continue to apply to activities and obligations that arose before termination (including intellectual property and payment obligations).

12. Intellectual Property

12.1 Platform IP

All content and materials available on the Platform, including but not limited to text, graphics, logos, images, user interface elements, and software, are the property of Maille or its licensors and are protected by intellectual property laws.

12.2 Restrictions

Except as expressly permitted in these Terms or by prior written consent:

  • • You may not copy, modify, reproduce, distribute, or create derivative works from any part of the Platform;

  • • You may not use any trademark, logo, or brand elements of Maille or Piece Mode in a manner that implies endorsement or affiliation without authorization.

13. Disclaimers

13.1 No warranty

To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement, or performance.

13.2 Blockchain and third-party services

Maille does not warrant and is not responsible for:

  • • The functioning, security, or availability of any blockchain network;

  • • The performance or availability of Wallet providers, marketplaces, or other third-party services integrated with or used in connection with the Platform.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Maille SAS, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to:

  • • Your use or inability to use the Services;

  • • Any unauthorized access to or use of our servers or Platform;

  • • Any interruption, delay, or failure of transmission to or from the Services;

  • • Any bugs, viruses, or other harmful components transmitted by third parties;

  • • Any errors or omissions in any Content or metadata;

  • • Any on-chain transaction failures, gas fee variations, or smart contract behaviors outside our reasonable control.

Where liability cannot be fully excluded under mandatory law, it shall be limited to the maximum extent permitted, and in no case exceed the amount of fees you have paid to Maille for the Services in the twelve (12) months preceding the event giving rise to the claim.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of France, without regard to conflict-of-law provisions.

Any dispute arising out of or relating to these Terms, the Services, or any NFT-related transaction via the Platform shall be subject to the exclusive jurisdiction of the competent courts located in Paris, France.

16. Changes to Terms

We may modify or update these Terms from time to time. Any changes will be effective upon posting the updated Terms on the Platform, unless a different effective date is indicated.

Your continued use of the Services after such changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
